These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," "your") and Reedy 24 Translate ("Company," "we," "us," "our"), a professional translation services provider operated from Marvela, 724, 11th Road, Khar West, Mumbai, Maharashtra 400052, India. These Terms govern your use of our website (reedy24translate.site) and all translation, localization, interpretation, and related language services we provide.

By accessing our website, submitting a quote request, placing an order, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

1. Definitions

For the purposes of this Agreement, the following definitions apply:

• "Services" refers to all translation, localization, transcription, interpretation, proofreading, editing, desktop publishing, certified translation, and any other language-related services offered by Reedy 24 Translate
• "Source Material" refers to the original documents, files, text, audio, video, or other content provided by the Client for translation or processing
• "Deliverables" refers to the translated, edited, or otherwise processed content delivered to the Client upon completion of the Services
• "Project" refers to a specific translation or language service engagement
• "Quote" or "Estimate" refers to the written cost estimate provided by us for a specific Project
• "Working Day" refers to Monday through Saturday, excluding Indian national holidays
• "Confidential Information" refers to all non-public information disclosed by either party

3. Order Process & Project Workflow

3.1 Requesting a Quote

To initiate a project, the Client must submit a quote request through our website, email, phone, or WhatsApp.

3.2 Quote Validity & Acceptance

• All Quotes are valid for 15 calendar days from the date of issue
• Quotes are based on the Source Material provided at the time of the request
• A Quote is accepted when the Client provides written confirmation and makes the required advance payment

3.3 Project Execution

• A dedicated project manager will be assigned to oversee your project
• The most qualified translator(s) will be selected based on language pair and subject matter
• The translation will undergo our quality assurance process: Translation → Editing → Proofreading (TEP)

4. Payment Terms

4.1 Pricing & Currency

• All prices are quoted in Indian Rupees (INR) unless otherwise agreed
• Prices are exclusive of applicable taxes (GST at 18% for Indian clients)

4.2 Payment Schedule

• Small Projects (up to ₹10,000): 100% advance payment required
• Medium Projects (₹10,001 – ₹50,000): 50% advance; remaining 50% upon delivery
• Large Projects (above ₹50,000): 40% advance; 30% at midpoint; 30% upon final delivery
• Recurring/Retainer Clients: Custom payment terms may be arranged

4.3 Accepted Payment Methods

• Bank transfer (NEFT/RTGS/IMPS)
• UPI (Google Pay, PhonePe, Paytm, etc.)
• International wire transfer (SWIFT)
• Online payment gateway (credit/debit cards)
• Cheque (subject to clearance)

4.4 Late Payment

Invoices not paid within 15 days of the due date will incur a late payment fee of 1.5% per month on the outstanding balance.

5. Delivery & Timelines

5.1 Standard Delivery

• Standard turnaround time is 2,000–3,000 words per working day per language pair
• Delivery timelines begin from the date of Quote acceptance and advance payment receipt

5.2 Rush & Urgent Delivery

• Rush delivery (within 24 hours) is available for an additional surcharge of 30–50%
• Same-day delivery may be available for shorter documents

5.3 Delays

While we make every effort to meet agreed deadlines, delays may occur due to factors beyond our control. We will notify the Client promptly of any anticipated delays.

6. Revisions & Quality Guarantee

6.1 Revision Policy

• We offer one round of free revisions within 14 days of delivery
• Additional revision rounds or changes beyond the original scope will be quoted separately

6.2 Quality Standards

• Translation: By a qualified native-speaker translator with subject matter expertise
• Editing: By a second linguist who reviews for accuracy and terminology consistency
• Proofreading: Final review for grammar, spelling, punctuation, and formatting

8. Intellectual Property Rights

The Client retains all intellectual property rights in the Source Material. Upon full payment, the intellectual property rights in the Deliverables shall transfer to the Client.

9. Confidentiality

• All Source Materials and Deliverables are treated as strictly confidential
• All translators, editors, and staff members are bound by Non-Disclosure Agreements (NDAs)
• Upon project completion, all copies will be securely deleted within 90 days
• Custom NDA agreements are available upon request

10. Limitation of Liability

Reedy 24 Translate's total liability for any claim arising out of or related to the Services shall not exceed the total fees paid by the Client for the specific Project giving rise to the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless Reedy 24 Translate from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of the Client's breach of these Terms or the Client's Source Material infringing upon the rights of any third party.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations if such failure or delay results from circumstances beyond reasonable control, including natural disasters, pandemics, acts of war, government actions, internet failures, or power outages.

13. Acceptable Use of Website

When using our website, you agree not to use it for any unlawful purpose, attempt to gain unauthorized access, introduce harmful code, scrape data without consent, or interfere with the website's functionality.

14. Disclaimer of Warranties

We provide our Services on an "as is" and "as available" basis. The Client is responsible for having all translations reviewed by qualified professionals before relying on them for critical decisions, legal filings, or regulatory submissions.

15. Dispute Resolution

15.1 Informal Resolution

The parties agree to first attempt to resolve disputes informally through good-faith negotiation for 30 days.

15.2 Mediation

If informal negotiation fails, either party may initiate mediation in Mumbai, India.

15.3 Arbitration

If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15.4 Jurisdiction

Either party may seek injunctive relief in the courts of Mumbai, Maharashtra, India.

16. Governing Law

These Terms shall be governed by the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any accepted Quote, constitute the entire agreement between you and Reedy 24 Translate regarding the subject matter hereof.

19. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the revised Terms on our website. Your continued use of our Services constitutes acceptance of the revised Terms.
